1.Role of the Platform
AI-Pro Talent acts solely as a facilitator that connects companies ('Clients') with vetted independent experts ('Experts'). The Platform is not a party to the service agreement between Client and Expert and does not employ, supervise, or direct any Expert.
Any contract for services is entered into directly between the Client and the Expert. The Platform is not responsible for the quality, timeliness, legality, or outcome of any deliverables.
2.Intellectual Property
Subject to full and cleared payment of all invoices and Platform fees related to a project, all intellectual property rights in the deliverables created by the Expert for the project transfer to the Client, on a worldwide, perpetual, and exclusive basis.
Until full payment has been received, all rights remain with the Expert. Background IP, pre-existing tools, and third-party components remain the property of their respective owners and are licensed on a non-exclusive basis where required for use of the deliverables.
3.Platform Fees
The Platform charges a service fee of 15% of the total project value (the 'Platform Fee'), unless otherwise agreed in writing. The Platform Fee is added on top of the Expert's rate and is invoiced together with the project amount.
All amounts are exclusive of applicable VAT. Fees are non-refundable once work has commenced, except where required by mandatory law or explicitly stated in these terms.
4.Payments and Escrow
Payments are processed via Stripe. For milestone-based projects, funds may be held in escrow and released to the Expert upon acceptance of the corresponding deliverable, or automatically after the review period expires without objection.
5.Client Obligations
- Provide accurate project scope, requirements, and timelines
- Respond to Expert deliverables and questions within reasonable time
- Pay invoices in accordance with the agreed schedule
- Refrain from circumventing the Platform to engage listed Experts directly during the term of the engagement and for 24 months thereafter
6.Confidentiality
Both Client and Expert agree to keep confidential all non-public information exchanged in connection with a project. The Platform enforces a baseline confidentiality obligation through its Expert agreement.
7.Dispute Resolution
Any dispute arising between Client and Expert shall first be submitted to the Platform's internal mediation service. The Platform will attempt in good faith to help the parties reach an amicable resolution within 30 days.
If mediation fails, the dispute shall be finally settled by arbitration under the rules of the Netherlands Arbitration Institute (NAI), seated in Amsterdam, in the English language.
8.Liability
To the maximum extent permitted by law, the Platform's aggregate liability towards the Client is limited to the total Platform Fees paid by the Client in the twelve (12) months preceding the event giving rise to the claim.
9.Governing Law
These terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles. Mandatory provisions of European Union law remain applicable where relevant.
10.Changes to these Terms
The Platform may update these terms from time to time. Material changes will be notified via email and in the Platform at least 30 days before taking effect. Continued use of the Platform after that period constitutes acceptance.
