Terms of Service — Experts

You participate on the Platform as an independent contractor. Nothing in these terms creates an employment, agency, partnership, or joint-venture relationship between you and AI-Pro Talent. You are solely responsible for your own taxes, social security contributions, insurance, and compliance with applicable self-employment regulations in your jurisdiction.

To publish a profile you must complete the Platform onboarding, pass the vetting process, and accept the platform agreement. You confirm that all information you provide is accurate and up to date.

Before your first payout, you must complete Know-Your-Customer (KYC) and Anti-Money-Laundering (AML) verification via our payments partner (Stripe). Verification may include government-issued ID, proof of address, and business registration details where applicable.

Payouts are held until verification is successfully completed. The Platform may refuse or terminate your account if verification cannot be completed or reveals prohibited activity.

You agree that, upon full payment of the invoice for a project, all intellectual property rights in the deliverables you created for that project transfer to the Client on a worldwide, perpetual, and exclusive basis. To the extent transfer is not automatic, you hereby grant an exclusive, irrevocable, royalty-free license with the right to sublicense.

You retain rights to your background IP, general skills, and pre-existing tools, and grant the Client a non-exclusive license to use those elements to the extent embedded in the deliverables.

For a period of twenty-four (24) months after the last date of contact facilitated by the Platform, you agree not to:

• Solicit or accept engagements from Clients you were introduced to via the Platform outside of the Platform;
• Share direct contact details with Clients with the intent to bypass the Platform;
• Encourage a Client to terminate its use of the Platform.

Breach of this clause entitles the Platform to liquidated damages equal to 24 months of estimated Platform Fees on the circumvented engagement, without prejudice to any further remedies.

The Platform charges a service fee (currently 15% of project value) which is added on top of your rate and paid by the Client. Payouts are processed via Stripe according to the payout schedule visible in your dashboard.

• Deliver work with professional skill and care and within agreed timelines
• Communicate promptly with Clients and the Platform
• Keep all Client information strictly confidential
• Comply with applicable laws, export controls, and sanctions

The Platform may suspend or terminate your account for breach of these terms, quality issues, failed KYC, or unlawful conduct. You may close your account at any time, subject to completion of ongoing engagements.

Disputes between Expert and Client are first mediated by the Platform. If mediation fails, disputes are finally settled by arbitration under the rules of the Netherlands Arbitration Institute (NAI), seated in Amsterdam, in the English language.

These terms are governed by the laws of the Netherlands. Mandatory provisions of European Union law remain applicable where relevant.
